What you are hearing is the electric cooling fan kicking in to keep the ac condenser cool, this is perfectly normal.

Eddie Try unplugging the cam and the crank sensor and see how it turns over. By doing this we are taking away the computers ability to fire the injectors and the plugs. if it still kicks back then it would seem as if there has to be a mechanical issue with the timing setup.

Fuel pressure was 40 psi, when? Was it while idling or was it while driving down the road?

What is the fuel pressure reading? How did you check the idle air control valve?

Being that the p0765 is a circuit code for shift solenoid D I don't suspect that you have an internal trans failure. If you have verified the wiring is good from the solenoid to the pcm and also verified that the pcm is actually commanding the solenoid then i would suspect a bad shift solenoid...
